ItemMap Terms of Service

Welcome to ItemMap. These Terms of Service (these "Terms") are a binding agreement between you and ItemMap, Inc., a Delaware corporation ("ItemMap," "we," "us"), and govern your use of the ItemMap mobile applications, the web application at app.itemmap.app, the itemmap.app website, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy at itemmap.app/privacy (the "Privacy Policy"). If you do not agree, do not use the Service.

1. What ItemMap Does

ItemMap lets you scan physical spaces with your device's camera. The Service streams and processes your scan video to build 3D reconstructions of the scanned space and to detect, identify, deduplicate, and catalog the items in it, and may provide automated, AI-generated estimates of what items are and what they may be worth (together, "Outputs"). Outputs are generated by machine-learning systems and are estimates, not facts. See Section 7.

2. Eligibility and Accounts

2.1 You must be at least 18 years old to use the Service.

2.2 You are responsible for your account credentials and for all activity under your account. Keep your credentials confidential and notify us promptly at hello@itemmap.app of any unauthorized use.

2.3 You must provide accurate account information and keep it current. You may sign in using third-party identity providers (for example, Apple or Google); their terms govern those services.

2.4 A service under active development. ItemMap is new and evolving. Features may be modified, added, suspended, or discontinued at any time; scans may process slowly or imperfectly; and data may occasionally be lost, so keep your own copies of anything important. Features described in marketing materials may change or may never ship.

3. Your Content

3.1 Ownership. You own the video, images, audio, and other material you capture or submit through the Service ("User Content"). These Terms do not transfer ownership of your User Content to us.

3.2 License to us. So that we can operate the Service, you grant ItemMap a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers) license to host, store, transmit, reproduce, process, analyze, modify (for example, to generate reconstructions, crops, and thumbnails), create derivative works of, and display your User Content and the Outputs derived from it, in each case to provide, maintain, secure, and improve the Service.

3.3 Your responsibilities: scanning other people and other people's property. You must have the legal right to scan the spaces and items you scan. Do not scan spaces you do not own or lawfully occupy without permission; take reasonable steps to avoid capturing people (especially children), identity documents, screens, or other sensitive material in your scans; and do not use the Service to surveil any person. You are solely responsible for complying with laws that apply to your recording activity in your jurisdiction, including consent and privacy laws.

3.4 Outputs and your inventory. As between you and ItemMap, and subject to Sections 3.2, 4, and 5.6, you may use the Outputs associated with your account (your item catalog, value estimates, 3D reconstructions) for your personal, non-commercial purposes. If you want to use the Service or its Outputs commercially (for example, for a business inventory or on behalf of clients), contact us at hello@itemmap.app; commercial terms are available separately.

3.5 Export; no lockout. You may export your inventory data. We will not block your access to inventory data you have already generated as a means of forcing payment, provided your account is in good standing and not terminated for violation of these Terms. Upon account deletion, we will delete or de-identify your User Content as described in the Privacy Policy, subject to legal retention requirements and backup cycles.

3.6 Feedback. If you send us ideas, suggestions, or feedback, we may use them without restriction or obligation to you.

4. ItemMap's Intellectual Property

The Service, including its software, models, pipelines, 3D-reconstruction and identification technology, interfaces, and branding, is owned by ItemMap and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the apps we make available to you, in object-code form, solely to use the Service for your personal, non-commercial purposes in accordance with these Terms. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of any part of the Service; reverse engineer or attempt to extract source code, models, or model weights (except to the extent a law prohibits that restriction); or use the Service, User Content of others, or Outputs to develop a competing product or to train a machine-learning system. "ItemMap" and the ItemMap logo are trademarks of ItemMap, Inc.; no license to them is granted.

5. Plans, Scan Packs, and Billing

5.1 Free start and trial. New accounts start free: you can catalog a limited number of items (currently about two hundred), and for your first two weeks the Service includes all features, including inventory search and connections to third-party AI assistants. After the trial, browsing and exporting the inventory you have already created remain free; search, AI-assistant connections, and further scanning require a subscription or a scan pack as described below. Free limits are set by us and may change prospectively.

5.2 Subscription. The ItemMap subscription (billed monthly or annually) includes scanning without item counting, inventory search, and AI-assistant connections, for personal, non-commercial use. Unlimited scanning is subject to fair use: the Service is built for cataloging your own spaces, and we may review, throttle, or require a different plan for accounts whose volume indicates automated or commercial use (as a guide, inventories beyond tens of thousands of items). Subscriptions renew automatically until cancelled; cancellation takes effect at the end of the current billing period.

5.3 Scan packs. One-time scan packs cover scanning only; they do not include inventory search or AI-assistant connections. A scan pack is measured in items: each item the Service catalogs uses one, and premium actions (such as value checks) use more, as disclosed in-product. Items in a purchased scan pack do not expire.

5.4 Billing boundaries. An item from a scan pack is used when the Service catalogs an item or completes a premium action; premium actions are charged when their results are delivered. Processing that produces no cataloged item or delivered result uses nothing. Deleting a scan returns to your pack whatever was used for items that existed only in that scan.

5.5 Changes; refunds; taxes. Prices may change prospectively with notice. Except where required by law, purchases and used scan-pack items are non-refundable; we may make goodwill adjustments at our discretion. Prices exclude taxes, which you are responsible for. Purchases are processed by our third-party payment processor on the web; its terms apply to payment processing.

5.6 Personal, non-commercial use only; ItemMap provided through partners. Unless you have a separate written agreement with ItemMap that says otherwise, every plan described in this Section 5 (the free start, the trial, the subscription, and scan packs), any promotional or complimentary access we grant, and any access to the Service that is provided to you by or through a third party (for example, a storage facility, landlord, property manager, employer, retailer, insurer, mover, or other partner or reseller that includes ItemMap with its own products or services) is licensed to you for personal, non-commercial use only. "Commercial use" means using the Service or its Outputs in the course of a business or for anyone other than yourself and your household, including cataloging business inventory, goods held for sale, or client, tenant, or customer property; providing inventory, valuation, or documentation services to others; or building Outputs into a product or service you offer. Access provided through a partner is still governed by these Terms: the partner cannot grant you rights that ItemMap does not; the partner may pay for or subsidize your access but does not receive access to your inventory (see the Privacy Policy); and that access may end when your relationship with the partner ends or the partner's arrangement with ItemMap ends. 6. Acceptable Use

You will not: (a) violate any law or third-party right (including privacy, publicity, and intellectual-property rights) in connection with the Service; (b) upload malicious code or interfere with, probe, or disrupt the Service or its infrastructure; (c) circumvent usage limits, free-tier limits, metering, or access controls, or share or resell access to the Service; (d) scrape, harvest, or bulk-export data from the Service other than your own data through provided mechanisms; (e) use the Service to catalog stolen goods or otherwise in furtherance of unlawful activity; (f) misrepresent Outputs as professional appraisals or use them in a filing or claim where a certified valuation is required, without independent verification; or (g) use another person's account or impersonate anyone. We may investigate violations and may suspend or terminate accounts that violate this Section.

7. AI Outputs: Important Disclaimers

7.1 Estimates, not advice. Item identifications, categorizations, counts, and value estimates are generated by automated machine-learning systems and may be incomplete, duplicated, misidentified, or wrong. Outputs are provided for informational purposes only and are not professional appraisals and not financial, insurance, tax, legal, or investment advice. Do not rely on Outputs for insurance coverage decisions or claims, estate or tax filings, sale or purchase decisions, or any other consequential decision without independent verification by a qualified professional.

7.2 Market data. Value estimates may derive from third-party marketplace data that is itself incomplete or stale. Actual realizable value depends on condition, authenticity, demand, and other factors the Service cannot fully assess from video.

7.3 Verification is on you. You are responsible for reviewing and verifying Outputs before relying on them.

8. Third-Party Services

The Service depends on third-party services (for example, app stores, cloud hosting, network relays, model providers, and marketplace data sources). We are not responsible for third-party services, and your use of them may be subject to their own terms.

9. Copyright Complaints

If you believe content on the Service infringes your copyright, email hello@itemmap.app with a notice containing the information described in 17 U.S.C. § 512(c)(3): identification of the copyrighted work and of the material you believe infringes it, your contact information, a statement that you believe in good faith the use is not authorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act for the copyright owner, and your physical or electronic signature. We will respond to valid notices, including by removing content and terminating repeat infringers where appropriate.

10. Termination

You may stop using the Service and delete your account at any time in the app (Account & sync, then Delete account) or by emailing hello@itemmap.app. We may suspend or terminate your access (or the Service itself) at any time, with notice where practicable, including for violation of these Terms, security risk, legal requirement, or discontinuation of the Service. Upon termination, Sections 3.2 (as to processing already performed and residual backups), 3.6, 4, 7, and 11 through 15 survive. Section 3.5 (export) applies for 30 days following termination other than termination for your violation of these Terms.

11. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) ITEMMAP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) ITEMMAP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (ii) FIFTY DOLLARS ($50). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You will defend, indemnify, and hold harmless ItemMap and its officers, directors, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys' fees) arising out of (a) your User Content, including any claim that your recording or scanning activity violated another person's rights or applicable law; (b) your violation of these Terms; or (c) your misuse of Outputs.

14. Dispute Resolution

14.1 Talk to us first. If you have a dispute with ItemMap, email hello@itemmap.app with a description of the problem and what you would like us to do. You and ItemMap agree to try in good faith to resolve any dispute informally for at least 30 days before starting a formal proceeding.

14.2 Courts. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in Massachusetts, and you and ItemMap each consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in small-claims court if it qualifies, and ItemMap may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or the security of the Service.

15. General

15.1 Governing law. These Terms are governed by the laws of the Commonwealth of Massachusetts, excluding its conflicts-of-law rules.

15.2 Changes to these Terms. We may update these Terms. For material changes we will provide reasonable advance notice (for example, in-app or by email); continued use of the Service after the effective date constitutes acceptance. If you do not agree, stop using the Service before the changes take effect.

15.3 Miscellaneous. These Terms and the Privacy Policy are the entire agreement between you and ItemMap regarding the Service. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given in-app or to your account email; notices to us go to hello@itemmap.app. Nothing in these Terms creates a partnership, agency, or employment relationship.

15.4 App store terms. If you downloaded the app from the Apple App Store, the following also applies. These Terms are between you and ItemMap only, not Apple, and Apple is not responsible for the app or its content. Your license is limited to use on Apple-branded devices that you own or control, as permitted by the App Store usage rules. Apple has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation for the app; if the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price (if any), and any other claim, loss, or cost attributable to a warranty failure is ItemMap's responsibility. ItemMap, not Apple, is responsible for addressing any claim relating to the app or your use of it, including product-liability claims, claims that the app fails to conform to a legal or regulatory requirement, and consumer-protection or similar claims, and for the investigation, defense, settlement, and discharge of any third-party claim that the app infringes intellectual-property rights. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties. You must comply with applicable third-party terms when using the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service.
